1. Introduction and Acceptance

Welcome to Syncless. These Terms of Service (the "Terms") form a binding agreement between you ("you" or "User") and LangGenius, Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of Syncless, including our website, web application, desktop client, browser extension, APIs, integrations, Skills, collaboration features, and related services (collectively, the "Service").

By clicking "I agree," creating an account, or accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy, each of which is incorporated into these Terms by reference. If you do not agree, you may not access or use the Service.

THESE TERMS CONTAIN IMPORTANT PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR AUTHORIZATION OF AUTONOMOUS ACTIONS TAKEN BY THE AGENT ON YOUR BEHALF (SECTION 7), DISCLAIMERS OF WARRANTIES (SECTION 15), A LIMITATION OF LIABILITY (SECTION 16), AN INDEMNIFICATION OBLIGATION (SECTION 17), AND A JURY TRIAL WAIVER AND CLASS ACTION WAIVER (SECTION 22). PLEASE READ THEM CAREFULLY.

2. Definitions

"Affiliate" means an entity that controls, is controlled by, or is under common control with a party, where "control" means at least 50% ownership or the power to direct an entity's management.

"Agent" means the AI-powered autonomous software agent that is the core component of the Service and that executes tasks on your behalf based on your instructions.

"Documentation" means the user-facing documentation we make available for the Service, as updated by us from time to time.

"Feedback" means feedback, comments, ideas, proposals, and suggestions for improvements you provide to us regarding the Service.

"Local Environment" means your local device, file system, installed browser, and any credentials or data stored thereon that the Agent may access through our client software or browser extension.

"Skill" means a reusable capability or instruction set that extends the Agent's behavior, whether created by us, by you, or by a third party.

"Third-Party Platform" means any external service, website, or application (including without limitation GitHub, Slack, Google Workspace, and email providers) that the Agent interacts with on your behalf.

"User Content" means any data, text, files, prompts, instructions, Skills, or other materials you submit to, upload to, or generate through the Service.

3. Eligibility and Registration

You must be at least 18 years old to use the Service. The Service is not available to, and may not be accessed by, individuals or entities located in mainland China, North Korea, Iran, Syria, Cuba, or the Crimea, Donetsk, or Luhansk regions of Ukraine, or by any person listed on the U.S. Department of the Treasury's Specially Designated Nationals and Blocked Persons List, or on the U.S. Department of Commerce's Denied Persons or Entity List. The Service complies with applicable U.S. export control and sanctions laws. You must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. The Service

The Service is an AI-powered productivity and automation platform that enables you to delegate tasks to an autonomous Agent. The Agent may, among other things, interact with web browsers, access files in your Local Environment, perform operations on Third-Party Platforms you connect, execute user-defined or user-uploaded Skills, and collaborate with other users you invite to work with you. We may update, modify, add, or discontinue features of the Service at any time, in our sole discretion, without liability to you.

5. License to You

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes. You will not: copy, modify, reverse engineer, decompile, disassemble, or create derivative works of the Service; resell, sublicense, rent, lease, or otherwise transfer access; use the Service to build a competing product or to train any competing AI model; circumvent any access controls, rate limits, or security measures.

6. Your Content, Outputs, and Skills

You retain all ownership rights in and to your User Content, including any Skills you create. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (solely for technical purposes), transmit, display, and otherwise process your User Content solely to operate the Service. We will not use your User Content to train AI models.

As between you and us, we assign to you all right, title, and interest we may have in any output generated by the Agent ("Outputs"). You are responsible for evaluating Outputs for accuracy before relying on them. Outputs are not unique; the Service may generate similar Outputs for other users.

7. Agent Authorization and Actions

This Section 7 is a core provision of these Terms. By using the Service, you expressly authorize the Agent to take actions on your behalf and accept full responsibility for those actions.

7.1 Authorization to Act on Your Behalf. You authorize the Agent to execute tasks, access resources, and take actions on your behalf. Actions taken by the Agent at your direction are deemed to be actions taken by you.

7.2 Third-Party Platform Integrations. When you connect a Third-Party Platform, you represent that you have authority to grant access and that your use complies with that platform's terms. You are solely responsible for any consequences.

7.3 Local Environment Access. You authorize the Agent to read, write, modify, or delete files in your Local Environment. Actions may cause unintended consequences including data loss.

7.4 Autonomous Execution. The Agent executes tasks autonomously once delegated. The Service provides configurable human-in-the-loop settings. Unless you enable such settings, the Agent may proceed autonomously.

7.5 Irreversible Actions. The Agent may take actions that cannot be undone, including deleting files, sending communications, and initiating transactions. No universal rollback function exists.

7.6 Multi-User Collaboration. You may delegate tasks to and share context with other users. You are responsible for ensuring you are permitted to share the relevant content.

8. Acceptable Use

Your use is subject to our Acceptable Use Policy. A violation of the AUP is a violation of these Terms and may result in suspension or termination.

9. Third-Party Services and Sub-processors

The Service relies on third-party providers. We contract with AI model providers such that User Content is not used to train their models.

10. Fees, Billing, and Payment

We offer a free tier with a usage allowance. Paid features require fees as set out in our pricing page. Billing is monthly in advance, in U.S. dollars, processed by Stripe. All Fees are non-refundable except as required by law. We may change Fees with 30 days advance notice.

11. Privacy and Data

Our collection, use, disclosure, retention, deletion, and export of your personal information are described in our Privacy Policy.

12. Intellectual Property

The Service is owned by Company or our licensors. If you provide Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it.

13. Confidentiality

Either party may disclose confidential information. The Receiving Party will use reasonable measures to prevent unauthorized disclosure and limit access to those with a need to know.

14. Beta Service

Portions of the Service are currently available as a beta offering. The Beta Service may contain defects, generate inaccurate outputs, or behave unexpectedly. We may change, suspend, or discontinue it at any time.

15. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND QUIET ENJOYMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AGENT OUTPUTS WILL BE ACCURATE.

16. Limitation of Liability

IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).

17. Indemnification

You will defend, indemnify, and hold harmless Company from and against any claims arising out of: your use of the Service; your User Content or Skills; actions taken by the Agent at your instruction; your breach of these Terms; or your violation of the rights of any third party.

18. Suspension and Termination

You may stop using the Service at any time. To request deletion of your account, contact support@syncless.ai. We may suspend or terminate your access with or without notice if you violate these Terms.

19. Changes to the Service or Terms

We may modify these Terms from time to time with notice. Your continued use after the effective date constitutes acceptance.

20. Export Controls and Sanctions

The Service is subject to U.S. export control and economic sanctions laws. You represent that you are not in a sanctioned country and will not violate export control laws.

21. Force Majeure

Neither party will be liable for delays or failures resulting from events beyond reasonable control.

22. Governing Law and Dispute Resolution

These Terms are governed by Delaware law. Disputes must be brought in state or federal courts in San Francisco, California.

JURY TRIAL WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE EACH WAIVE ANY AND ALL RIGHT TO TRIAL BY JURY.

CLASS ACTION WAIVER: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

23. Miscellaneous

These Terms, together with the Privacy Policy and the AUP, constitute the entire agreement between you and us regarding the Service.
